Zhengwei Yang

Biography

Zhengwei Yang is a partner in DaHui Lawyers' compliance, crisis management, employment, and dispute resolution practices. He advises clients across life sciences, semiconductor and industrial manufacturing, electric vehicles, information analytics, venture capital, sports and entertainment, and real estate. He investigates internal incidents, designs the governance and data frameworks that prevent or contain them, and litigates or arbitrates when containment fails. Multinational corporations operating in China, Hong Kong and Singapore enterprises, domestic technology and industrial companies, venture capital funds, and private creditors regularly seek his support from the first internal signal through to final enforcement. Clients value his strategic judgment and the consistency of his service.

Zhengwei's employment and compliance practice spans counseling, institutional design, internal investigations, and contentious defense. On the investigative and data-compliance side, he leads internal inquiries into executive and employee misconduct, conflicts of interest, policy violations, and the exfiltration of confidential technical material. His contentious mandates cover high-stakes executive separations, non-compete enforcement where departing personnel conceal service to a restricted competitor behind a nominal staffing entity, disputes over whether post-expiry conduct converted successive fixed-term contracts into an open-ended relationship, and stale claims seeking to reconstruct employment records decades after ordinary retention periods expired. Where an internal incident carries administrative or criminal implications, he advises management on regulatory response and crisis containment.

As a disputes lawyer, Zhengwei represents claimants and respondents before the PRC courts and in arbitrations administered by CIETAC, HKIAC, SIAC, and SHIAC. His docket spans cross-border commercial, financing, shareholder, trade-secret, and employment disputes touching Mainland China, Hong Kong, Singapore, Canada, and offshore jurisdictions such as the British Virgin Islands.

Before joining DaHui Lawyers, Zhengwei practised at Baker & McKenzie Fenxun for years. He graduated from Shanghai Jiao Tong University and the University of California, Berkley Law School, and is a practicing lawyer in China. In addition, Zhengwei obtained a Professional Certificate in Intellectual Property in Berkeley, California.

Assisted a leading vehicle manufacturer in conducting compliance due diligence on multiple mergers and acquisitions transactions, designed compliance clauses in transactional documents, and advised the client on mitigation measures to address the compliance risks identified through the compliance due diligence.
Advised numerous global companies on bringing data policies into compliance with China’s data laws and assisted with standard contracts and filings.
Advised a U.S. telecom company in a unique case where it was investigated because its software was being used for money laundering and scams, and helped the company successfully respond to inquiries and bring itself into compliance.
Advised a leading apparel company on developing investigative protocols and disciplinary measures throughout different regions in China.
Handled allegations of manipulation of sales accounting procedures, non-compliant interactions and testing methodology and results manipulations involving local officials for a U.S.-listed global medical device manufacturer.
Represented a China-listed technology company with global operations in a series of high-stakes, cross-border matters, including negotiations with local public procurators, contentious commercial disputes, and responses to government dawn raids.
Investigated suspected bribery and kickbacks for a US-listed technology and software company in connection to the client’s sales teams and business partners concerning multiple significant contracts valued at tens of millions of RMB and involving a number of prominent end-users.

Labor & Employment

Assisted a US listed company in handling a massive layoff of staff from its Chinese plant, including notifying over 300 employees of the termination of their employment in person and onsite.
Helped a U.S.-based cosmetics manufacturer investigate and resolve misconduct within its long-running factory in Tianjin, China, involving bribery and infringement on the company’s interests.
Successfully assisted a leading media company with the sudden and difficult termination of 30 employees, with all employees agreeing to mutual termination agreements that added up to less than the higher-end of the company’s budget.
Advised multinational corporations on a wide range of labor and employment matters involving hiring and termination, formulation and implementation of company policies, leave and compensation matters, and workplace data and privacy protection.
Helped a leading exhibition company conduct a round of significant updates to its employee handbook, leave policy, and template employment agreement, covering four major business entities in China.
Assisted numerous clients with conducting internal investigations into a variety of misconduct and violations of company policies, codes of conduct and labor agreements. Major issues included sexual harassment, false reimbursement, embezzlement, physical confrontation in the workplace, conflict of interest, etc.
Conducted an investigation against a series of non-compliant activities of a global leading electric appliance manufacturer’s offline sales business in China, with the investigation covering over 800 stores throughout all regions in China, implicating employees from frontline sales to top management members, as well as business partners.

Commercial Dispute

Represented a globally recognized provider of clinical research services in multiple high-stakes and potentially contentious matters in both China and the US.
Advised both hotel management companies and real estate owners in disputes arising from miscommunication, oversight, and weak operation by providing tailored action plans and roadmaps for disputes.
Represented multinational construction businesses in construction arbitrations administered by the CIETAC and handled follow-up enforcement proceedings.
Represented a leading real estate fund in dealing with SHIAC arbitration over transactional disputes with a leading Chinese real estate developer.
Defended a renowned Chinese company against an arbitration claim brought by US claimants concerning a joint venture project that was a key project of the 13th Five-Year Plan with an amount in dispute of RMB 10 billion involving complex PRC and HK law arguments and multi-jurisdictional legal concerns.
Handled a series of disputes between shareholders and ex-legal representatives wrestling for company control, including participation in a RMB three billion Supreme People’s Court case concerning a Hong Kong financial company’s ten-year-long investment in a China-listed commercial bank.
Represented several US apparel corporations, pharmaceutical companies and a worldwide engineered material manufacturers in their anti-counterfeiting activities, trade secret protection and other intellectual property-related legal matters in China.
