Cross-Border Transaction Lawyers – Mid-Level

Job Description

We are looking for cross-border transactions lawyers to join our teams as mid-level associates in Beijing, Shanghai, and Wuhan.

Mid-level associates play an integral and indispensable role in DaHui Lawyer’s cross-border transaction teams, which represent international and domestic clients in complex cross-border mergers and acquisitions and investment and financing transactions. Mid-level associates constitute a crucial part of our provision of legal services, at the highest international standards, including the following:

  • Negotiating deal terms and drafting, revising and commenting on term sheets
  • Analyzing, advising on and negotiating corporate and deal structures and the establishment of any additional entities and special purpose vehicles
  • Arranging, managing, reviewing and communicating with parties for deal due diligence and drafting, revising or commenting on due diligence reports
  • Drafting, negotiating, revising and commenting on purchase agreements, subscription agreements, shareholder agreements and other principal and ancillary transaction documents
  • Advising on and assisting with deal closing and post-transaction integration

Mid-level associates are often asked to work extended hours, go the extra mile along with senior associates and partners, and make active contributions to client matters and the firm. Basic requirements include:

  • One or preferably two law degrees from Chinese and/or international law schools
  • More than 2 years’ experience in domestic or cross-border M&A or PE/VC transactions in China and familiarity with the main legal issues in cross-border deals
  • Working proficiency in written and oral English
  • Strong communication and coordination skills, high level of professionalism, ability to learn quickly, drive to take on challenges and a team spirit
