Overview

DaHui has experience in capital markets transactions and has served as PRC counsel for issuers and underwriters in a broad range of equity and debt offerings in the United States and Hong Kong, including IPOs, secondary offerings, Reg S and Rule 144A offerings, high-yield bond offerings, and private placements. In addition, DaHui has also assisted issuers in the preparation of various SEC filings in compliance with their obligations under U.S. securities laws.

  • General advice on PRC regulatory requirements for offshore listings
  • Advice on cross-border restructuring (including “red-chip” model) for IPO purposes
  • Legal due diligence and issuance of PRC legal opinions for offshore equity and debt offerings
  • Guidance on the U.S. IPO process and advice on PRC legal matters in the prospectus and other disclosure documents
  • Reviewing and commenting on PRC aspects of quarterly and annual SEC and HKSE filings

Represented NASDAQ-listed 21Vianet (VNET), a leading carrier-neutral Internet data center services provider in China, in its over USD 60 million PIPE financing from Temasek, Kingsoft and Xiaomi.

Citigroup and Credit Suisse

Represented Citigroup and Credit Suisse in the IPO of Shanghai Paipaidai Financial Information Service Co. Ltd. (NYSE: PPDF / FINV), the Chinese P2P lending service often known as "ppdai.com" and later rebranded as FinVolution.

EGLS/Dragon Pipes

Advised EGLS Co., Ltd. (f.k.a. Zhejina Dragon Pipe Manufacturing Co., Ltd.), a developer and operater of wireless boutique online games listed on the Shenzhen Stock Exchange (002619), on its equity acquisitions of Muzhiwan Beijing and Sooying Hangzhou.

eLong

Represented eLong, Inc., a leading online travel service provider in China that IPO'd in 2004 (NASDAQ: LONG), in a going-private deal (which led to the Tongcheng-eLong Hong Kong HKD 1.4 billion IPO in 2018).

Jinko Solar

Represented NYSE-listed Jinko Solar (JKS), the world's largest solar panel manufacturer, on its public offering of American Depository Shares and USD 85 million concurrent private placement of convertible senior notes.
