Shan He is a Partner in DaHui Lawyers’ corporate/M&A practice group. Shan has extensive experience in the global media and entertainment sector, and has assisted in the strategic guidance, negotiation and execution of a wide variety of domestic and cross-border deals across the motion picture, television, Internet, cable and broadcast networks, music, theater, publishing, sports and gaming industries.

Shan also specializes in and has regularly advised companies on every stage of the development, production, financing and distribution of motion pictures, television content and other content involving intellectual property assets, particularly for Sino-foreign co-developed, co-produced and co-financed motion pictures and television content. Shan has assisted myriad industry participants, including studios, private equity investors, financial institutions, online media providers, smart-device manufacturers and high-profile talent (including producers, directors and actors/actresses) with various commercial and legal matters.

Shan has practiced at Skadden, Arps, Slate, Meagher & Flom LLP and Simpson Thacher & Bartlett LLP for many years. Prior to joining DaHui, Shan was the Legal Director and Senior Strategic Investment Principal of a leading media and entertainment group in China.

Corporate Investment, Financing and M&A

  • Advised China Media Capital and provided investment and legal analysis on a wide range of strategic and private equity investments, equity and debt financing, M&A and business restructuring transactions involving domestic motion picture and television production and distribution companies as well as talent agencies
  • Advised China Media Capital on the formation of a motion picture joint venture with Warner Bros. Entertainment, Inc. and on its daily operational matters coordinating with producers, directors and other talent
  • Advised a private equity firm on its equity investments in popular variety show content companies and digital media companies
  • Advised a private equity firm on its strategic investment in a Korean talent agency company
  • Advised a private equity firm on its equity investments in musicals and music production companies
  • Advised a private equity firm on its equity investment in animation and cartoon-content provider companies
  • Advised a private equity firm on its strategic investments in several media and entertainment companies and on its potential listing opportunities in the mainland China, Hong Kong and U.S. markets

Fund Formation and Operation

  • Advised on a USD fund formation among Warner Bros. Entertainment, RatPac Entertainment, WPP plc, China Media Capital and Shanghai Oriental Pearl Group covering films, TV series and creative content, and on the fund’s daily investment and operational matters
  • Advised on an RMB fund formation between China Media Capital and IMAX China, the world’s largest large screen entertainment system provider, and on the fund’s daily investment and operational matters
  • Advised on a television slate co-financing arrangement with China Media Capital, Hong Kong Television Broadcasts Limited (TVB) and Imagine Entertainment, a Hollywood film and television production company

  • Advised an Internet ticketing company on its private equity investments

  • Advised on the formation of an investment fund with Sequoia China, a private equity investment fund, and China Media Capital

  • Advised on development, production and financing, including Sino-foreign co-development, co-production and co-financing, and distribution, marketing, and merchandising for a variety of motion pictures and TV series, including:
