Brendon is a Partner in DaHui Lawyers’ private equity and outbound investment teams. His primary practice areas include cross-border M&A, private equity and venture capital financing, capital markets, outbound investment and general corporate and commercial matters. Brendon's industry experience primarily focuses in the media, technology, Internet, mobile application, film, entertainment, real estate, education, natural resources and traditional manufacturing industries.

He has represented numerous well-known and early stage Chinese Internet entrepreneurs in a wide range of financings, including business spin-off and restructuring driven by financing, onshore RMB financing, offshore preferred stock or convertible notes financing and M&A transactions.

  • Advised Qunar on Baidu’s US$ 306 million investment
  • Advised Meilishuo on its several rounds of financings
  • Advised Changba on its Series A and B financings
  • Advised Papa on its Series A financing

  • Advised ihaveu on its several rounds of financings

M&A and Investments

  • Advised a U.S. based PE fund in its investment in a commercial real estate group
  • Advised a PRC based PE fund in its investment in a mining company
  • Advised a famous U.S. venture capital firm on its Series A investment in a leading SNS mobile application
  • Advised Reed Exhibitions on several of its acquisitions of domestic exhibitions, events and shows
  • Advised a U.S. Internet company in the spin-off of its business and assets and then the securitization of its investment in the split business along with other financial investors
  • Advised a tie-in advertising company on its sales to WPP

Capital Markets and SEC Compliance

  • Advised Youku Inc. for its US$233 million IPO and listing on the NYSE
  • Advised Xinyuan Real Estate (NYSE: XIN, the first Asian real estate company listed in the U.S.) in its US$284 million IPO on the NYSE in 2007, its issuance of US$200 million high-yield bonds in 2013, and in a convertible bond purchase by TPG
  • Advised Xinyuan, eLong (NASDAQ: LONG), Jinko (NYSE: JKS) and some other US listed PRC companies in their regular SEC filings
  • Advised China Development Bank on its lending facility to China Transinfo (NASDAQ: CTFO) for its going private transaction
  • Advised several domestic real estate developers on their cross-border restructuring precedent to IPOs

Outbound Investments and Sovereign Wealth Funds

  • Advised China Africa Development Fund on its US$100 million investment in Startimes digital TV in Africa
  • Advised Xinxing Cathay International Group on its strategic cooperation with Petróleos Mexicanos
  • Advised Xinxing Ductile on its proposed investment in an iron ore mining company in Indonesia
